English

This socio-legal study examines whether sukuk function as authentic sustainable finance instruments or formalistic replications of conventional debt under Islamic branding in Saudi Arabia's Vision 2030. Combining doctrinal analysis of Saudi corporate and capital market law with 20 semi-structured interviews, it identifies five vulnerabilities: doctrinal ambiguity, procedural Shari'ah oversight, fiduciary gaps, weak investor protection, and market concentration. It proposes a tripartite framework integrating maqāṣid al-Sharīʿah, fiduciary theory, and socio-legal resilience.

📝 gxceed 編集解説 — Why this matters

In the global GX context

While sukuk are niche in Japan, the paper's core critique—that ESG-labeled instruments may be formalistic rather than substantive—resonates with global debates on greenwashing in green bonds and sustainability-linked loans under ISSB/CSRD disclosure regimes. It adds a Gulf/Islamic-finance perspective to transition finance scholarship.

📄 Abstract(原文)

Sukuk have become central instruments in Islamic finance, increasingly promoted as vehicles for sustainable development and capital market diversification. Positioned at the intersection of Sharīʿah compliance, corporate governance, and environmental, social, and governance (ESG) imperatives, sukuk are pivotal to Saudi Arabia’s Vision 2030 agenda. Yet their legitimacy and effectiveness remain contested. This study examines whether sukuk function as authentic instruments of sustainable finance or whether they risk becoming formalistic replications of conventional debt under Islamic branding. Employing a socio-legal methodology that integrates doctrinal analysis of Saudi corporate and capital market law with twenty semi-structured interviews across regulators, Sharīʿah scholars, directors, and market practitioners, the study identifies five interrelated vulnerabilities: doctrinal ambiguity in the legal status of sukuk holders, procedural rather than substantive Sharīʿah oversight, fiduciary governance gaps, weak investor protection, and systemic risks associated with market concentration. These findings reveal a persistent disjunction between sukuk’s normative aspirations and their practical operation. The study contributes to the literature by integrating maqāṣid al-Sharīʿah, fiduciary theory, and socio-legal resilience as a tripartite framework for evaluating sukuk. It argues that only through institutionalising doctrinal clarity, fiduciary accountability, and enforceable ESG standards can sukuk serve as credible instruments of sustainable corporate finance under Vision 2030.
