English

Using Chinese A-share listed firms (2009–2024), this study shows that greater ESG rating disagreement at the target level significantly suppresses acquisition premiums. Two channels drive this: financing constraints and agency costs, as divergence worsens information asymmetry, raises capital costs, and inflates monitoring costs and managerial opportunism. Effects are stronger for non-SOEs, heavy polluters, and eastern-region firms, supporting ESG disclosure standardization and refined M&A valuation.

In the global GX context

This paper extends ESG rating divergence research into M&A pricing, showing that inconsistent ESG signals create real economic frictions. It reinforces the global push for disclosure standardization (ISSB, CSRD) by quantifying how divergence raises capital costs and agency costs, with direct implications for M&A valuation and ESG due diligence practices.

📄 Abstract(原文)

While ESG rating divergence has expanded its economic footprint from corporate financing to investment decisions, its implications for M&A pricing remain underexplored. Utilizing data from Chinese A-share listed firms (2009–2024), this study investigates how target-level ESG disagreement influences acquisition premiums. Findings confirm that heightened disagreement significantly suppresses premiums. This inference survives rigorous robustness checks, including instrumental variable estimation, Heckman correction, placebo tests, and sensitivity analyses excluding pandemic years or altering fixed effects. Mechanism analysis delineates two transmission channels: Financing Constraints and Agency Costs. Divergence exacerbates information asymmetry, elevating capital costs and constraining growth expectations. Simultaneously, it obscures true ESG performance, inflating monitoring costs and managerial opportunism, thereby weakening governance quality and synergy projections. Cross-sectional tests reveal more pronounced effects among non-SOEs, heavy polluters, and firms in the eastern region, where financing and agency frictions act as full mediators. This paper pioneers the extension of ESG disagreement research into the M&A domain, clarifying the "information risk → friction → pricing" transmission mechanism. The results offer empirical support for standardizing ESG disclosure and refining M&A valuation strategies.
