English
SEBI's BRSR Core mandates independently verified ESG disclosure for Indian listed firms, creating a hybrid 'assessment or assurance' regime. This paper asks whether this constitutes a shift to audit-based sustainability governance. It argues Indian law lacks clear liability allocation for ESG statements among directors, audit committees, and assurance providers, and calls for a dedicated statutory ESG assurance blueprint with separate regulatory function and liability rules.

📝 gxceed 編集解説 — Why this matters
In the global GX context
India's BRSR Core offers a leading example of mandatory, assured ESG disclosure outside the EU/ISSB sphere. Its focus on liability allocation and assurance as a separate regulatory function informs global debates on ISSB adoption and CSRD assurance requirements, especially for jurisdictions designing enforcement mechanisms.

📄 Abstract(原文)
In the span of just over a decade, the Securities and Exchange Board of India (“SEBI”) has moved India's listed firms from voluntary sustainability reporting towards a progressively mandatory, independently verified ESG ("Environmental, Social and Governance") disclosure regime. The launch in July 2023 of a new category of Business Responsibility and Sustainability Reporting (the “BRSR Core”), together with the ease-of-doing-business relaxations of March 2025, has introduced a hybrid ‘assessment or assurance’ paradigm that borrows both the vocabulary and, more significantly, the legal gravitas of statutory financial auditing. The scope of this paper is limited only to the Standard Core Disclosures for BRSR as required by SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and does not include the voluntary ESG Ratings, ESG labelled investment products and environmental clearances granted for sectors under a dedicated approach. This paper analyses whether this shift amounts to a transformation toward audit-based sustainability governance in India. It argues that although SEBI has made ESG reporting a compliance requirement under the Listing Obligations and Disclosure Requirements Regulations, 2015, there has been no commensurate progress in Indian law regarding the allocation of responsibility for ESG statements and errors among directors, the audit committee, independent directors, assurance providers, and statutory auditors. Based on the analysis of India's corporate jurisprudence, SEBI's enforcement practices, and ESG-related assurance litigation in Australia and the United States, this paper argues that a dedicated statutory blueprint for ESG assurance in India is needed, and that assurance should be a separate regulatory function, with specific liability rules, to close the enforcement gap that currently leaves unverified sustainability claims unpunished.
