English
Using panel data from listed firms in Nigeria and South Africa (2015–2024), this study compares drivers of greenwashing and its effects on stakeholder trust and ESG disclosure credibility. Greenwashing is more prevalent in Nigeria, while South African firms show stronger governance and more credible disclosures. Greenwashing significantly reduces ESG disclosure credibility but not stakeholder trust, and governance effects differ across countries. The authors recommend stronger governance, regulatory enforcement, and independent ESG assurance.

In the global GX context
As ISSB/IFRS S1-S2 adoption spreads globally, this paper provides emerging-market evidence that governance mechanisms and assurance are critical to disclosure credibility. It complements TCFD/CSRD debates by showing that greenwashing undermines credibility more than stakeholder trust, with implications for regulatory enforcement and independent assurance requirements.

📄 Abstract(原文)
The growing adoption of ESG reporting among listed companies in Nigeria and South Africa has raised concerns about greenwashing, weak corporate governance, and the credibility of sustainability disclosures. This study examines the factors influencing greenwashing, its effect on stakeholder trust, the mediating role of stakeholder trust in ESG disclosure credibility, and the influence of corporate governance mechanisms. Using an ex post facto comparative panel research design, the study analysed data from selected listed companies over the period 2015-2024, employing descriptive statistics, correlation analysis, panel unit-root tests, fixed- and random-effects regressions, Hausman specification tests, mediation analysis, and robustness tests. The findings indicate that greenwashing is more prevalent among Nigerian firms, while South African firms demonstrate stronger governance structures and more credible ESG disclosures. Corporate governance mechanisms significantly influence greenwashing, with board independence and audit committee size reducing greenwashing in South Africa but exhibiting contrasting effects in Nigeria. Greenwashing does not significantly affect stakeholder trust in either country but significantly reduces ESG disclosure credibility. Furthermore, stakeholder trust does not significantly mediate the relationship between greenwashing and ESG disclosure credibility. The study recommends stronger corporate governance mechanisms, enhanced regulatory enforcement, independent ESG assurance, and transparent and verifiable sustainability reporting, particularly in Nigeria, to curb greenwashing and strengthen the credibility of ESG disclosures.
