📄 Abstract（原文）
In dit artikel wordt onderzocht in hoeverre het Nederlandse vennootschapsrecht toereikend is voor aandeelhouders die invloed willen uitoefenen op het klimaatbeleid van beursvennootschappen. Het vertrekpunt is dat het klimaatbeleid onderdeel is van de algemene strategie en het beleid en daarmee primair tot de bestuursbevoegdheid behoort, onder toezicht van de raad van commissarissen. Analyses van bepalingen uit Boek 2 BW, parlementaire stukken, literatuur, rechtspraak en AvA-evaluaties leren dat aandeelhouders beschikken over juridische instrumenten waarmee zij beperkt invloed kunnen uitoefenen op het klimaatbeleid van de vennootschap. De analyses van de relevante rechtsontwikkelingen op het gebied van environmental , social en governance ( ESG )-wetgeving in de EU en in Nederland en de stappen die op dat gebied in Frankrijk worden gezet leveren weliswaar inspiratie op, maar voorlopig nog beperkte mogelijkheden.
